1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the website at zirulabs.com and any subdomains, content, features, and services made available through it (collectively, the "Website"), operated by Ziru Labs ("Ziru Labs," "we," "us," or "our").

By accessing or using the Website, you agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific features or content you access through the Website. If you do not agree to these Terms, you must not access or use the Website.

If you are accessing the Website on behalf of an organization, government agency, academic institution, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" in these Terms refer to both you individually and the entity you represent.

2. Eligibility

The Website is intended exclusively for use by adults engaging with Ziru Labs in a professional or business capacity. By using the Website, you represent and warrant that you are at least 18 years of age (or such other age of majority as applies in your jurisdiction), have the legal capacity to enter into binding agreements, and are accessing the Website for a lawful purpose consistent with these Terms.

The Website is not directed to children, and Ziru Labs does not knowingly collect personal information from children. If you are not eligible to use the Website under this Section, you must not access or use it.

You may access and use the Website solely for lawful purposes consistent with these Terms and for the following purposes: reviewing publicly available information about Ziru Labs, our research, and our positioning; reading and downloading research publications, white papers, and other materials made available through the Website for personal, non-commercial reference or internal organizational use; submitting inquiries through the Website contact form or otherwise communicating with Ziru Labs in good faith; and any other purposes expressly authorized by Ziru Labs in writing.

You agree to use the Website in accordance with all applicable laws, regulations, and these Terms, and to refrain from any conduct that interferes with the operation, security, or integrity of the Website or the experience of other users.

4. Prohibited Use

You agree that you will not, and will not permit any third party acting on your behalf to, engage in any of the following activities in connection with the Website:

(d) Use the Website to transmit any virus, malware, ransomware, worm, trojan, logic bomb, or other malicious code or harmful component;

(e) Use the Website to send unsolicited commercial communications, spam, chain letters, phishing messages, or similar content, or to harvest contact information from the Website for any such purpose;

(f) Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity, in connection with your use of the Website;

(g) Submit information through the Website that is false, misleading, fraudulent, defamatory, obscene, harassing, threatening, infringing of intellectual property rights, or otherwise unlawful;

(h) Use the Website in any manner that could damage, disable, overburden, or impair the Website, or interfere with any other party's use and enjoyment of the Website;

(i) Use the Website to engage in any activity that violates applicable export-control, sanctions, anti-corruption, anti-money-laundering, anti-terrorism, or other regulatory law (see Section 11);

(j) Frame, mirror, deep-link to, or embed any portion of the Website on any other website or platform without our prior written authorization, except for ordinary linking to publicly accessible pages with attribution;

(k) Remove, obscure, alter, or otherwise interfere with any proprietary notices, watermarks, or other identifying information on or in any materials accessed through the Website; or

(l) Use the Website for any purpose that is unlawful, fraudulent, abusive, or otherwise inconsistent with these Terms.

Ziru Labs reserves the right to investigate and take appropriate action against any party that, in our reasonable judgment, violates this Section, including without limitation referral to law enforcement, civil action, suspension or termination of access to the Website, and any other remedy available under applicable law.

5. Intellectual Property

5.1 Ownership

All content made available through the Website, including but not limited to text, research publications, white papers, primers, frameworks, reference architectures, taxonomies, diagrams, logos, trademarks, service marks, trade names, design elements, software, and other materials (collectively, the "Ziru Labs Content"), is the property of Ziru Labs or its licensors and is protected by United States and international copyright, trademark, patent, trade-secret, and other intellectual-property laws.

Nothing in these Terms transfers to you any ownership interest in the Ziru Labs Content or in any intellectual property rights of Ziru Labs or its licensors. All rights not expressly granted in these Terms are reserved by Ziru Labs and its licensors.

5.2 Research Publications and Creative Commons Licensing

Specific research publications made available through the Website are distributed under the Creative Commons Attribution 4.0 International (CC BY 4.0) license or such other license as may be designated on the publication itself.

Where a publication is distributed under CC BY 4.0, you may copy, redistribute, adapt, and build upon the material in any medium or format, including for commercial purposes, subject to attribution to Ziru Labs as described in the publication's citation block and as required by the CC BY 4.0 license. The terms of CC BY 4.0 govern your use of the publication and are available at creativecommons.org/licenses/by/4.0.

Use of the publications under the CC BY 4.0 license does not grant rights to Ziru Labs trademarks, service marks, or trade names, which remain protected under Section 5.3. Use of the publications under the CC BY 4.0 license does not grant rights to any underlying patented technology, trade secrets, or other intellectual property held by Ziru Labs that may be referenced or described in the publications.

5.3 Trademarks

"Ziru Labs," the Ziru Labs logo, and any other trademarks, service marks, trade names, or design marks displayed on the Website are the property of Ziru Labs or its licensors. These Terms do not grant you any right or license to use any Ziru Labs trademark, and you must not use any Ziru Labs trademark in any manner that could create confusion regarding source, sponsorship, endorsement, or affiliation, or that could dilute or disparage the trademark.

Nothing in these Terms or in the CC BY 4.0 license under which our research publications are distributed grants you any right to use Ziru Labs trademarks. Permitted attribution use of the Ziru Labs name in connection with citation of a Ziru Labs publication is not a trademark license and does not authorize broader use.

5.4 Limited License

Subject to your compliance with these Terms, Ziru Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website and to view, download, and print Ziru Labs Content for the permitted purposes identified in Section 3. This license terminates automatically upon any breach of these Terms, and may be revoked by Ziru Labs at any time at our discretion.

5.5 Feedback

If you submit suggestions, comments, ideas, or feedback regarding Ziru Labs, our research, the Website, or our positioning (collectively, "Feedback"), you grant Ziru Labs a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, transferable, sublicensable license to use, reproduce, modify, prepare derivative works of, distribute, display, perform, and otherwise exploit the Feedback for any purpose, without obligation of confidentiality or attribution to you. Ziru Labs is under no obligation to consider, respond to, or implement any Feedback.

6. User-Submitted Content and Communications

6.1 Submission

When you submit information through the Website contact form, send us correspondence, or otherwise communicate with Ziru Labs (collectively, "Submissions"), you represent and warrant that the Submission is accurate, lawful, and submitted by you or by a party with authority to submit it on your behalf.

6.2 No Confidentiality by Submission Alone

Submissions through the Website contact form or other unsolicited channels are not subject to any confidentiality obligation on the part of Ziru Labs unless and until the parties enter into a separately executed written confidentiality agreement covering the relevant information. Do not submit information through the Website contact form that you require to be held in confidence; instead, contact us to establish appropriate confidentiality arrangements before submitting such information.

This Section does not modify any confidentiality obligations Ziru Labs may have under separately executed agreements with you, under applicable law, or under professional standards of conduct.

6.3 License

You grant Ziru Labs a non-exclusive, royalty-free, worldwide license to use the Submission for the purposes identified in our Privacy Policy and for any other lawful business purposes consistent with these Terms. You retain any pre-existing rights you hold in the Submission.

6.4 No Obligation to Respond

Ziru Labs is under no obligation to review, respond to, or take any action in response to any Submission. Ziru Labs reserves the right to decline to respond to or to discontinue any communication for any reason or no reason.

Ziru Labs reserves the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with Ziru Labs in asserting any available defenses.

11. Export Control and Sanctions Compliance

11.1 Compliance Obligation

Ziru Labs operates in the deep-tech and dual-use technology sectors and is subject to applicable export-control, sanctions, anti-money-laundering, anti-corruption, and counterparty-screening laws of the United States, the European Union, the United Kingdom, and other applicable jurisdictions. These obligations may include those imposed under the Export Administration Regulations (EAR), the International Traffic in Arms Regulations (ITAR), regulations administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), the United Kingdom Export Control Order, Council Regulation (EU) 2021/821 on dual-use items, the Foreign Corrupt Practices Act, the UK Bribery Act, and analogous regimes.

11.2 Your Representations

You represent and warrant that: (a) you are not located in, ordinarily resident in, organized under the laws of, or owned or controlled by any person located in, any jurisdiction subject to comprehensive trade sanctions administered by the United States or other competent authorities; (b) you are not identified on the U.S. Department of the Treasury's Specially Designated Nationals and Blocked Persons List, the U.S. Department of Commerce's Denied Persons List, Entity List, or Unverified List, the U.S. Department of State's debarred parties list, or any equivalent list maintained by any other applicable jurisdiction; (c) your access to and use of the Website and any Ziru Labs Content will comply with all applicable export-control, sanctions, anti-money-laundering, and anti-corruption laws; and (d) you will not access, use, export, re-export, transfer, or otherwise distribute the Website or any Ziru Labs Content in violation of any such law.

11.3 Counterparty Screening

Submissions through the Website may be subject to counterparty screening as described in our Privacy Policy. Ziru Labs may decline to engage in further communication or business activity with any party whose engagement would be prohibited or restricted by applicable export-control or sanctions law, and reserves the right to do so without notice.

11.4 No Authorization for Controlled Activities

Nothing on the Website or in any Ziru Labs Content constitutes authorization to engage in any activity that would require an export-control license, sanctions authorization, or other regulatory approval. The Website and Ziru Labs Content are made publicly available for analytical and informational purposes and do not transfer any controlled technology, technical data, defense article, or service that would be subject to such licensing or authorization requirements. 12. Government and Federal Procurement

14. Modifications to the Terms and to the Website

14.1 Modifications to the Terms

Ziru Labs may modify these Terms from time to time at our discretion. When we make material modifications, we will revise the Last Updated date at the top of these Terms and, where the modifications are material or where required by applicable law, provide additional notice through the Website or other reasonable means. Your continued access to or use of the Website after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue access to and use of the Website.

14.2 Modifications to the Website

Ziru Labs reserves the right to modify, suspend, discontinue, or restrict access to the Website or any portion of it at any time, with or without notice, and without liability to you or any third party.

15. Termination

Ziru Labs may suspend or terminate your access to all or any portion of the Website at any time, with or without notice and with or without cause, including for any breach of these Terms. Upon any termination of your access, the licenses granted to you under these Terms terminate automatically, and you must cease all access to and use of the Website and the Ziru Labs Content (except for content lawfully accessed under separate license terms such as CC BY 4.0, which continue to be governed by such license terms).

Sections 5 (Intellectual Property, except as to the limited license in Section 5.4), 6 (User-Submitted Content and Communications), 7 (Third-Party Links and References), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 11 (Export Control and Sanctions Compliance), 12 (Government and Federal Procurement), 16 (Governing Law and Dispute Resolution), 17 (General), and any other provisions that by their nature should survive termination, will survive any termination of these Terms or of your access to the Website.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms and any dispute arising out of or in connection with these Terms or your access to or use of the Website will be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict-of-laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

16.2 Forum

You agree that any action or proceeding arising out of or in connection with these Terms or your access to or use of the Website will be brought exclusively in the state or federal courts located in Cuyahoga County, United States, and you irrevocably submit to the personal jurisdiction of such courts and waive any objection to venue or forum non conveniens.

16.3 Informal Resolution

Before initiating any formal action or proceeding, you agree to attempt to resolve the dispute by contacting us at contact@zirulabs.com with a written description of the dispute and your proposed resolution. The parties will negotiate in good faith for a period of at least thirty (30) days from the date of such notice before initiating formal proceedings.

16.4 Class Action Waiver

To the fullest extent permitted by applicable law, any action or proceeding arising out of or in connection with these Terms or your access to or use of the Website will be brought solely in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action or proceeding.

16.5 Equitable Relief

Notwithstanding the foregoing, Ziru Labs may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or other proprietary rights.

17. General

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any separately executed agreements between you and Ziru Labs covering specific subjects, constitute the entire agreement between you and Ziru Labs regarding your access to and use of the Website and supersede all prior or contemporaneous communications and proposals regarding such subject matter.

17.2 No Waiver

The failure of Ziru Labs to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. No waiver of any provision of these Terms will be effective unless in writing and signed by an authorized representative of Ziru Labs.

17.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect.

17.4 Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without the prior written consent of Ziru Labs, and any attempted assignment in violation of this Section will be void. Ziru Labs may assign or transfer these Terms in whole or in part at any time without notice and without your consent.

17.5 Relationship of the Parties

Nothing in these Terms or your access to or use of the Website creates any partnership, joint venture, agency, employment, franchise, or other relationship between you and Ziru Labs. Neither party has authority to bind the other or to incur any obligation on the other's behalf.

17.6 Notices

Notices to Ziru Labs under these Terms must be sent to contact@zirulabs.com (with "Legal Notice" in the subject line) or to the postal address identified in Section 18. Notices to you may be sent to the email address or other contact information you have provided to Ziru Labs, or by posting to the Website, and will be effective upon sending or posting.

17.7 Force Majeure

Ziru Labs will not be liable for any failure or delay in performance under these Terms due to any cause beyond its reasonable control, including without limitation acts of God, war, terrorism, civil unrest, pandemic or public-health emergency, natural disaster, governmental action, labor dispute, supply-chain disruption, telecommunications or power failure, or interruption of internet or third-party services.

17.8 Headings

Section headings in these Terms are for convenience only and do not affect the interpretation of these Terms.

17.9 Interpretation

These Terms have been drafted in the English language. Any translation of these Terms is provided for convenience only. In the event of any inconsistency between the English version and any translation, the English version controls.

17.10 Language
